The Opportunity

We are seeking a Corporate & Startup Attorney with 2–5 years of experience representing startups, emerging growth companies, and venture-backed businesses to join us full-time, take dedicated responsibility for our growing corporate client base, and help build the practice as we scale.

You combine excellent legal judgment with an instinct for speed, responsiveness, and innovation. You're comfortable using AI as an integral part of your practice, while knowing that the quality of the advice rests with you. You're excited not just to use new technology, but to help build the systems that will define the future of legal practice.

Qualifications

• J.D. and active membership in good standing in at least one U.S. jurisdiction.
• 2–5 years of corporate experience, preferably in an emerging companies and venture capital practice at a leading law firm or sophisticated boutique.
• Experience representing startups through multiple financing transactions, including priced equity rounds.
• Strong knowledge of venture financing documents, capitalization tables, corporate governance, and equity incentive arrangements.
• Excellent drafting, negotiation, and client communication skills.

What You'll Do

• Advise startups and founders: Serve as a trusted corporate advisor on formation, governance, capitalization, equity incentives, and ongoing legal matters.
• Manage venture financings: Draft, negotiate, and manage SAFEs, convertible notes, seed rounds, Series A and subsequent preferred stock financings.
• Support growing businesses: Advise on board and stockholder matters, founder arrangements, employee equity, option plans, and corporate reorganizations.
• Own transactions and client relationships: Manage diligence, documentation, negotiations, and closings, working directly with founders, investors, and opposing counsel.
• Provide commercial guidance: Draft and negotiate commercial agreements and advise on the legal needs of growing businesses.
• Advance technology-enabled legal practice: Integrate advanced AI models and proprietary tools to deliver faster, more sophisticated and commercially valuable advice. Collaborate directly with our legal engineers to develop, test, and refine the technology and workflows that power our firm.

Compensation & Benefits

• Base salary: $150,000–$200,000, depending on experience and qualifications.
