Frequently asked questions

Do I need a lawyer to review a contract before I sign it?

Not every contract needs extensive legal review. But if an agreement involves meaningful financial commitments, liability, intellectual property, data, exclusivity, or a long-term relationship, experienced review usually costs far less than fixing a problem later. If an agreement is straightforward, we’ll tell you quickly so you don’t pay for an extensive review you don’t need.

How quickly can Pacific Street turn around a contract?

Routine agreements are often turned around within one business day. For complex agreements, we give you a timeline upfront. Turnaround improves as we learn your business and preferred positions, so we can focus on what’s new in each agreement.

We received an acquisition offer. When should we call a lawyer?

Before you sign the term sheet or LOI. Price structure, earn-outs, exclusivity, rollover equity, and indemnification are often set at this stage, and they’re hard to reopen once you’ve signed.

What should a founder think about when selling their company?

The headline price is only part of the deal. What you actually receive depends on earn-outs, rollover equity, escrows, indemnification, and taxes, and employment terms and restrictive covenants can matter just as much. Our tax, employment, and trusts and estates lawyers help plan for the full picture.

What does Pacific Street charge for contract drafting or negotiation?

We agree on scope and pricing before we start. Much of our commercial work is flat-fee, and ongoing contract support can be structured as a monthly subscription. M&A can often be priced on a flat, scoped, or milestone basis. Our technology lets experienced lawyers work efficiently, and our pricing reflects that.

Can you handle a deal opposite a large company or law firm?

Yes. Our lawyers have negotiated dozens of counterparty agreements, as well as M&A transactions, opposite sophisticated in-house teams and leading outside counsel from large law firms.

Why shouldn’t I just use AI to review my contracts?

We use AI extensively, and it has made review much faster. But it can over-flag what doesn’t matter, miss what does, and overlook how a clause affects your business, regulatory exposure, or leverage. Our tools build on your prior positions and past work, which lowers your costs while experienced lawyers focus where judgment matters.
