The Opportunity

We are seeking an exceptional corporate paralegal with training and experience in an emerging companies and venture capital practice at a top-tier law firm.

This is an opportunity to do sophisticated legal work at the forefront of AI-enabled legal practice, with complete control over your schedule and how much work you take on. You'll work directly with experienced attorneys on meaningful startup and corporate matters, choosing engagements that fit your interests and availability, without hours requirements or minimum commitments.

We're looking for someone who combines excellent traditional paralegal skills with advanced proficiency in AI and legal technology, and who is excited to help build a new model of legal practice.

What You'll Do

• Venture financings: Support seed through later-stage financings, SAFEs, convertible notes, and priced rounds, including closing documents, checklists, signatures, and post-closing matters.
• Equity administration: Maintain cap tables, stock issuances, option grants, equity incentive plans, and related records using Carta.
• Corporate governance: Handle entity formations, board and stockholder consents, minute books, and ongoing corporate maintenance.
• Securities compliance: Coordinate Form D, Blue Sky, Rule 701, and other relevant filings and compliance processes.
• Transaction support: Manage due diligence, data rooms, closing deliverables, and client communications.
• Advance AI-enabled workflows: Use AI and automation to streamline document preparation, transaction management, diligence, and recurring corporate processes. Work with our attorneys and legal engineers to develop and refine proprietary tools.

Who You Are

• Top-tier law firm training required, with substantive experience on an emerging companies, venture capital, or corporate transactions team.
• Hands-on experience with Carta, including cap table management, equity issuances, and stock option administration.
• Strong understanding of venture financing mechanics, corporate governance, and securities filings.
• Highly proficient with AI and legal technology. You already use advanced AI tools in your work, actively experiment with new capabilities, and can identify opportunities to automate and improve legal workflows.
• Exceptional attention to detail, sound judgment, independence, and a commitment to excellent client service.

• Flexible, part-time contract engagements with full control over your availability and workload, on a project-by-project or agreed-upon hours basis.
